[OKAIRP] IMPORTANT ANNOUNCEMENT - Membership Voting Notice

Members of OKAIRP,

I wanted to update all of you on the non-profit process the Board is taking OKAIRP through.  Thanks to Susy Jorgenson at OU and Jeri Towler, our legal consultant that Susy brought to us, we are nearing the end of the process.  As you may recall, we began this discussion during the membership business meeting at our spring 2010 conference at Cameron.  Through the process, we have had to make changes to the articles of incorporation, which essentially addresses the existence of the organization.  We also had to make changes to the OKAIRP constitution, now called the OKAIRP By-Laws.  The Constitution had basic definitions of the roles of the Board and the rights of the members, but in order to move legitimately toward true non-profit and then tax-exempt status, changes were needed that more clearly delineated Board member roles and privileges, membership roles and privileges, and items needed for the protection, continuation, and health of the organization.

Why am I telling you all of this?  As members, you have the right and the responsibility to review the changes to the Constitution/By-Laws, as well as the right and responsibility to vote on the changes.  The existing Constitution is available on the OKAIRP website, http://www.okairp.org, via the 'Constitution' link at the top of the page inside the logo bar.  The proposed By-Laws are available via the 'By-Laws (Draft)' link under the 'Fall 2010 Conference' heading in the gray navigation bar to the left of the page - note, you may have to scroll down to get to the link.  Members attending the Fall 2010 conference will have the opportunity to vote on the changes during the afternoon keynote session.  A two-thirds majority of the voting members present is required for adoption of the new By-Laws.  Members will also have the opportunity to vote for the two Board positions that will be opening in December.  Current nominee information is available under the 'Elections' link under the 'Fall 2010 Conference' heading in the gray navigation bar; nominations may still be made by securing the permission of the nominee and emailing me the new nominee's information.  Members are encouraged to print out copies of the old and proposed documents and nominee information, so they may review them at their convenience.  We will have a limited number of copies available at the conference, in an effort to 'go green'.
